TERMS AND CONDITIONS FOR PROMO CODES

1. Definitions

   Authorised Partner: Any third party approved by Cusp Wealth to promote the App and distribute Promo Codes in compliance with DFSA rules and a written agreement.

   Cusp Wealth App: is our wealthtech platform that offers online financial services, including but not limited to the regulated activities of Arranging Deals in Investments and Advising on Financial Products. Through its mobile application, Cusp Wealth Ltd facilitates access for retail investors to a range of asset classes, enabling them to make informed investment decisions in a safeguarded and compliant digital environment.

   Promo Code: a unique code issued by Cusp Wealth (or on its behalf by authorised partners) as part of its general marketing and client acquisition initiatives, which may include (without limitation) influencer, affiliate, referral, partnership, or other authorised promotional campaigns. The code is created manually on the backend by our Developers (or authorised systems).

   Qualifying Trade: the successful completion of your first-ever buying order of a relevant trade asset, such as stocks or ETFs, using the Cusp Wealth App. Cancelled or rejected orders do not qualify.

   Bonus Stock: a promotional reward credited to your account in the form of a fractional share of stock (non-withdrawable as cash), with a nominal value determined solely at Cusp Wealth's discretion.

   Tailored Portfolio: the pre-configured investment portfolio we create with your consent after studying your financial objectives and risk profile.

2. Eligibility and Process

   1. Promo Codes form part of Cusp Wealth's general marketing and client acquisition initiatives. These may be promoted through various channels, including (but not limited to) influencers, bloggers, affiliates, referral partners, digital campaigns, or other authorised marketing methods, in full compliance with applicable DFSA rules on financial promotions and inducements.

   2. Participation in the Promo Code programme is strictly subject to you satisfying the eligibility criteria set out in the General Terms and Conditions of Cusp Wealth, including (without limitation) client classification requirements under DFSA rules, applicable restrictions on inducements or promotional offers, and any other conditions Cusp Wealth may impose from time to time.

   3. The Promo Code may be used only by new clients who are registering on the Cusp Wealth App for the first time.

   4. Each client is entitled to use only one Promo Code per account.

   5. Promo Codes cannot be combined with any other offers or bonuses provided by Cusp Wealth.

   6. To redeem a Promo Code, you must:

      • Download the Cusp Wealth App from the Google Play Store or the Apple App Store (available in the UAE).
      • Complete the registration process, including creating an account and completing all Know Your Customer (KYC) verification requirements.
      • Before placing your first trade, enter the Promo Code in the designated "Promo Code" field within the Rewards section in the App.
      • Make any required first deposit and submit your first trade order.
      • Upon completion of processing, the Bonus Stock will be credited to your account as a fractional share of stock.

   7. Once you successfully complete your first trade, the bonus will be unlocked. You will then be able to select a stock from the available options to which the Bonus Stock will be applied.

   8. If your first trade order is cancelled or rejected, no Bonus Stock will be awarded, and you will need to complete a new successful first trade to qualify.

   9. It must be noted that once the Bonus Stock enters processing, it may take up to three (3) business days to be completed.

   10. The Promo Code itself does not expire, and the Bonus Stock will remain available on your account until you successfully complete a qualifying first trade. However, Cusp Wealth reserves the right to deactivate any Promo Code or the entire campaign at any time, without prior notice.

   11. The value of the Bonus Stock to be allocated is determined solely at Cusp Wealth's discretion and may vary depending on the specific campaign or partnership. The nominal value is not guaranteed to be any particular sum. Once credited, the Bonus Stock is immediately subject to market risk and may fluctuate in value (including declining to zero). Cusp Wealth makes no representation as to the future performance or liquidity of any stock selected for the Bonus Stock.

   12. The Bonus Stock is a promotional reward and is strictly non-withdrawable as cash. It is credited exclusively as a fractional share of stock in your Cusp Wealth portfolio and forms part of your overall account holdings. For the avoidance of doubt:

       • You may not request or effect a cash withdrawal, redemption, or transfer out of the Bonus Stock itself; and
       • In the event of any full or partial withdrawal of funds, closure of your account, or transfer of your portfolio (or any material portion thereof) to another platform or custodian, Cusp Wealth reserves the absolute right to claw back, cancel, or reverse the Bonus Stock by debiting and removing it (or its equivalent value at the prevailing market price) from your account prior to processing the withdrawal, closure, or transfer. Any such clawback shall be effected without prior notice where operationally necessary, and you shall have no claim against Cusp Wealth in respect of the removed Bonus Stock.

   13. Cusp Wealth reserves the right to refuse, suspend, or cancel the provision of any bonus or promotional benefit if you do not meet, or cease to meet, the applicable eligibility criteria.

   14. You are solely responsible for the payment of any taxes, duties, or other administrative or governmental charges that may arise in connection with the receipt, holding, or disposal of the Bonus Stock. Cusp Wealth shall not be liable for any tax consequences resulting from your participation in the Promo Code programme.

   15. For the avoidance of doubt, the offering of any Promo Code or Bonus Stock does not constitute investment advice, a recommendation, or a determination that any investment (including the Bonus Stock) is suitable for you. You remain solely responsible for assessing the suitability and appropriateness of any investment in light of your own financial situation, risk tolerance, and objectives.

3. Usage Restrictions

   1. The promotional reward is limited to one (1) redemption per new User and is linked to the User's registered User ID and applicable campaign.

   2. The Promo Code can only be applied before the user's first trade is completed. It cannot be used after the first trade has been executed.

   3. The Bonus Stock is non-withdrawable as cash; it is credited exclusively as a fractional share in your portfolio.

   4. Promo Codes cannot be combined with, or used in conjunction with, any other offers or Bonus Stocks.

   5. The Bonus Stock applies only to the first Qualifying Trade and excludes investments made through a Tailored Portfolio or any subsequent trades.

4. Modifications, Disqualifications and Reversal

   1. Cusp Wealth reserves the right, in its sole discretion, to amend, suspend, terminate, or deactivate any Promo Code, campaign, or the entire program (including Bonus Stock values or availability) at any time without prior notice.

   2. Cusp Wealth may disqualify any Client suspected of fraudulent activity, abuse, or breach of these Terms, including but not limited to creating multiple accounts, misrepresenting identity, or submitting false documentation. In such cases, we reserve the right to:

      • Suspend or delete the User's account;
      • Revoke or reclaim any promotional Bonus Stock credited (via a clawback process by debiting the account);
      • Take any necessary action in accordance with applicable laws.
5. Shariah Compliance

   1. All stocks offered as Bonus Stock (and generally available on the platform) are Shariah-compliant for ethically-minded investors. Screening is performed using Zoya Finance's API, which is Fatwa-certified by Amanie Advisors Shariah Supervisory Board. Shariah compliance certification does not constitute investment advice or guarantee returns.

6. Risk Warning

   1. Investments involve risk. The value of your investment (including any Bonus Stock) may go down as well as up due to market fluctuations, and you may not get back the full amount you originally invested (or any amount). Past performance is not indicative of future results. The Promo Code usage and Bonus Stock do not guarantee returns or protect against losses. You acknowledge and accept these risks in full. Seek independent financial advice if unsure.

7. Limitation of Liability and Disclaimers

   1. Cusp Wealth shall not be liable for any indirect, incidental, special, or consequential damages or losses arising from participation in the Promo Code program. The program is provided "as is" without any express or implied warranties.

   2. Without limiting the foregoing, Cusp Wealth shall have no liability for any User's application of a Promo Code to a trade or asset order that the User did not intend to execute, or for any delays in Bonus Stock processing (up to 3 business days).

   3. Nothing in these Terms shall limit or exclude any statutory or regulatory rights to which a User may be entitled under applicable law.

   5. Neither party shall be deemed in breach of these Terms for any delay or failure to perform due to circumstances beyond its reasonable control.

   6. Without limiting the foregoing, Cusp Wealth shall have no liability whatsoever for any loss or diminution in value of the Bonus Stock after it has been credited to your account.

8. Acceptance and Binding Effect

   1. Your use of any Blogger/Influencer Promo Code constitutes your acceptance of these Terms. By redeeming or attempting to redeem a Promo Code, you confirm that:

      • you have read, fully understood, and agree to be bound by these Terms;
      • you meet all eligibility criteria stated in the General Terms and Conditions of Cusp Wealth;
      • you acknowledge and accept that you are subject in all respects to the General Terms and Conditions of Cusp Wealth; and
      • in the event of any conflict or inconsistency between these Promo Code Terms and the General Terms and Conditions, the General Terms and Conditions shall prevail.
      • you have read, understood, and expressly acknowledge the Risk Warning in Section 6 above and accept that investing (including in the Bonus Stock) carries the risk of loss of capital; and
      • these Terms do not constitute investment advice, a personal recommendation, or an assessment of suitability, and you have made your own independent decision to participate and invest.
9. Governing Law and Jurisdiction

   1. These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), and, where applicable, the regulations and rules issued by the Dubai Financial Services Authority (DFSA). Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the DIFC.

   2. By using the Promo Code, you confirm that you have read, understood, and agree to be bound by these Terms and that you have had the opportunity to seek independent legal and financial advice before accepting these Terms.
